Affiliate Program Terms of Service

Introduction

These Referral Program Terms of Service ("Terms") are automatically agreed to by users ("Referrers") upon participation in the SnapFile referral program. By introducing potential clients to SnapFile, you agree to abide by these Terms.

1. Program Overview

SnapFile offers a referral program to individuals and entities ("Affiliates") interested in referring clients for Beneficial Ownership Information ("BOI") reporting services. SnapFile provides an opportunity for Affiliates to earn Referral Fees by introducing new clients to our BOI filing services.

2. Term and Termination

Participation in the referral program begins upon the Effective Date and continues unless terminated by SnapFile or the Affiliate. Either party may terminate participation by providing written notice. SnapFile reserves the right to terminate the program or any Affiliate's participation at any time, for any reason.

3. Referrals and Compensation

Affiliates have a non-exclusive right to introduce prospective clients to SnapFile who are not already known to us. Affiliates are independent contractors and not employees, agents, or partners of SnapFile.To qualify for compensation, a referred lead (a "Compensable Lead") must be proactively introduced through an email or uploaded via SnapFile's partnership URL. SnapFile will determine the eligibility of leads for compensation at its sole discretion.

Referral Fees: Affiliates will receive 30% of the fees collected by SnapFile for the initial BOI filing services provided to Compensable Leads. Referral Fees will be paid within 45 days of SnapFile receiving unreturned payments from engagements with Compensable Leads. Referral Fees may be reduced for any returns or chargebacks.

4. SnapFile's Rights

SnapFile reserves exclusive discretion over whether to provide services to any prospective client, the fees charged, and the manner of service provision. SnapFile is not liable for any failure to provide services to a referred lead.

5. Affiliate Obligations

Affiliates must act in compliance with all applicable laws and must not:
-Share or split Affiliate Fees with unauthorized parties
-Provide false or misleading information
-Act against the interests of SnapFile

SnapFile reserves the right to reclaim any Affiliate Fees paid if the Affiliate violates these obligations.

6. Arbitration and Waiver of Jury Trial

Any disputes arising under these Terms shall be settled through arbitration administered by the American Arbitration Association in Boston, Massachusetts. The non-prevailing party shall be responsible for all related arbitration costs.

7. Miscellaneous

The Site may link to third-party services, such as government filing portals. We are not responsible for the content or accuracy of third-party sites.

Governing Law: These Terms are governed by the laws of the State of Massachusetts.

Modification: SnapFile may update these Terms from time to time. Continued use of the referral program after changes constitutes acceptance of the new Terms.

Limitation of Liability: SnapFile shall not be liable for any indirect or consequential damages arising from participation in the referral program.

Assignment
: Affiliates may not assign their rights under these Terms without prior written consent from SnapFile.
